Ralphine O'Rourke's primary areas of practice include corporate law, commercial and financing transactions. She advises entities in all matters of commercial transactions from start-up formation, leasing, contracting, employment, finance and governance matters. Ralphine also advises banks and other financial institutions on a broad range of commercial lending and leasing documentation and regulatory matters.
Ralphine began the practice of law as clerk to the Honorable David H. Souter of the New Hampshire Supreme Court and then practiced law with Ropes & Gray LLP in Boston, Massachusetts for several years. Ralphine moved to Vermont in 1992 and worked at Sheehey Brue Gray & Furlong where she became a shareholder of the firm and engaged in a debt and equity financing practice. In 1996, Ralphine took the position of Senior Attorney at Bombardier Capital, Inc. where she focused on lending, corporate finance, transactional and real estate matters. She was Of Counsel to Merritt & Merritt & Moulton for ten years representing clients on venture financings, liquidity events and other commercial matters such as employment agreements, software license, joint venture agreements and real estate transactions.
Ralphine earned her Bachelor of Arts degree, magna cum laude, from Wheaton College in 1985. Thereafter, she received her law degree from the Suffolk University Law School and served as Comment Editor of the Suffolk University Law Review. Ralphine is a past member of the Board of Directors of the Vermont YWCA, the Board of Directors of the March of Dimes and is currently Co-Chair of the Orchard School Drama Program.
